ACV Q2 2026 Earnings: Revenue Grows Despite Flat Marketplace Volume

ACV (NYSE: ACVA) reported Q2 2026 revenue of $213.9 million, up 10% year over year, while GAAP EPS was a loss of $0.05 versus a loss of $0.04 a year earlier. Adjusted EBITDA increased to $21 million even as marketplace GMV and transaction units remained roughly flat. The operating loss narrowed, but higher net interest expense contributed to a wider GAAP net loss.

Core financial results

Revenue increased by $20.2 million from the prior-year quarter. Marketplace and service revenue provided most of the dollar growth, while customer assurance revenue grew faster from a smaller base.

Operating performance improved on an adjusted basis, but GAAP and non-GAAP earnings moved in different directions. Adjusted EBITDA rose, while non-GAAP net income declined and the GAAP net loss widened.

Non-GAAP net income excludes items including stock-based compensation and acquired intangible amortization. These exclusions remained material relative to the company’s GAAP loss.

Marketplace and service performance

Marketplace GMV and units were approximately unchanged, showing that ACV’s revenue growth did not depend on higher transaction volume or vehicle value. Management attributed the increase to dealer wholesale market-share gains and adoption of Marketplace Services.

Customer assurance was the fastest-growing reported revenue category, increasing about 39%. It contributed roughly $7.0 million of ACV’s $20.2 million total revenue increase.

The gap between revenue growth and flat marketplace activity makes service adoption, wallet-share expansion, and customer assurance increasingly important to ACV’s growth profile.

Direct cost growth compressed contribution margin, but overhead discipline supported adjusted EBITDA

The two disclosed cost-of-revenue lines, which exclude depreciation and amortization, increased by approximately 18% in aggregate—faster than total revenue. Calculated revenue less those direct costs rose to about $106.7 million from $102.5 million, but the corresponding contribution margin declined to approximately 49.9% from 52.9%.

Expenses outside those cost-of-revenue lines grew more slowly. Operations and technology expense rose to $46.9 million from $45.8 million, while selling, general and administrative expense increased to $53.8 million from $53.0 million. That slower overhead growth helped narrow the operating loss and supported the increase in adjusted EBITDA despite pressure on the calculated contribution margin.

Below the operating line, total other expense increased to $1.6 million from $0.1 million. Interest expense rose to $3.2 million from $2.3 million, while interest income declined to $1.6 million from $2.2 million. This additional net interest burden more than offset the improvement in operating loss, contributing to the wider GAAP net loss.

Cash flow and balance sheet

ACV disclosed cash flow for the first six months of 2026 rather than for Q2 alone. Six-month operating cash flow was $41.0 million, down from $80.3 million in the prior-year period. A much smaller cash contribution from accounts payable was a major factor, partly offset by a smaller outflow from trade receivables.

Cash and equivalents declined by $29.2 million during the first half to $242.3 million. Investing activities used $33.9 million, including $18.5 million of capitalized software costs and a $10.5 million net increase in finance receivables. Financing activities used $36.1 million, including $50.2 million of share repurchases, while long-term debt increased to $205.0 million from $190.0 million at the end of 2025.

Credit-related balances also merit attention. Trade receivables increased to $216.1 million, finance receivables reached $191.9 million, and the six-month provision for bad debt rose to $8.9 million from $3.1 million.

Guidance

ACV reaffirmed its full-year 2026 outlook despite ongoing dealer wholesale market headwinds and an uncertain macroeconomic backdrop. The outlook assumes that the dealer wholesale market stabilizes during the second half of 2026 and that conversion rates and wholesale vehicle-price depreciation follow normal seasonal patterns.

ACV also expects full-year non-GAAP operating expenses, excluding cost of revenue, to increase approximately 6%. Full-year non-GAAP net income guidance excludes about $63 million of stock-based compensation and $10 million of intangible amortization.

Management’s perspective

CEO George Chamoun said the quarter benefited from dealer wholesale market-share gains and adoption of Marketplace Services. Management also highlighted the continued expansion of the AI-powered VIPER product and progress with commercial customers, including captives, banks, fleet companies, and auto-finance providers.

CFO Bill Zerella emphasized that ACV continued investing in its go-to-market organization and growth initiatives while facing dealer wholesale market headwinds. The decision to maintain full-year guidance reflects management’s assumption that the market will stabilize later in 2026.
