NutryFarm International Amends Share Conversion Agreement, Terminates Loan Deal

NutryFarm International (SGX:AZT) entered into an amended and restated share conversion agreement with Corpbond IV, suspending the original agreement dated Oct. 28, 2025, according to a Friday filing with the Singapore Exchange.

The health food and nutrition products company said the amendments reflect its discharge from judicial management, removing the judicial manager as a party and updating references to confirm that the board is now authorized to act on the company's behalf.

Meanwhile, the long-stop date has been extended to Dec. 31 to allow parties sufficient time to complete steps required for the restructuring.

Separately, the company's subsidiary, AI Nova terminated a loan agreement and a loan conversion agreement with lender Pan Dai, who was to provide it with a $1 million loan.

Since the funds had not been disbursed as the lender had confirmed that he would not proceed with the financing, the parties have agreed to terminate the agreements.
