Electronic Arts Nears Completion of Record $55B Buyout

Electronic Arts is set to become a private company next week after clearing the final regulatory hurdle for its $55 billion acquisition by a consortium led by Saudi Arabia's Public Investment Fund, one of the largest leveraged buyouts in history.

The video-game publisher said in a Securities and Exchange commission filing Thursday that all regulatory approvals required to complete the merger had been obtained. It expects the transaction to close on or about the close of trading Aug. 4, subject to remaining customary closing conditions.

The deal will give the Saudi sovereign wealth fund a majority stake in one of the world's largest video-game companies. The consortium also includes private-equity firm Silver Lake and funds affiliated with Affinity Partners, the investment firm founded by Jared Kushner, the Wall Street Journal previously reported.

Electronic Arts agreed in September 2025 to be acquired for $210 a share in cash, valuing the company at about $55 billion including debt. The transaction is expected to become the largest leveraged buyout on record.

Upon completion, the Redwood City, Calif.-based company will become a wholly owned subsidiary of the investor group and will no longer trade publicly.

The acquisition expands the Public Investment Fund's presence in the global gaming industry. The fund already held a stake in Electronic Arts before the deal and has invested in other gaming companies, including Nintendo and Scopely.

The filing said Electronic Arts's board expects the merger to close after all required regulatory approvals were received as of July 30. The company said the completion remains subject to the satisfaction or waiver of remaining closing conditions.
