Bluerock Acquisition Corp. II Files for IPO

Bluerock Acquisition Corp. II has filed for an initial public offering.

The special-purpose acquisition company said it will sell 15 million units at $10 apiece, according to a filing with the Securities and Exchange Commission on Friday. Each unit consists of one Class A ordinary share and one-third of one redeemable warrant.

The company has also granted underwriters a 45-day option to purchase up to an additional 2.3 million units to cover over-allotments. BTIG is listed as the offering's underwriter.

The company said it will receive gross proceeds of $154.5 million from the offering, or about $177.5 million if the over-allotment option is exercised. Both figures include proceeds from a private placement that's expected to close simultaneously with the closing of the IPO.

During its search for an acquisition target, the Cayman Islands blank check company plans to focus on businesses in areas like decentralized platforms, digital assets and data-intensive fintech infrastructure.

The company intends to apply to have its units listed on the Nasdaq Global Market under the ticker BRRKU. Once the securities comprising its units begin separate trading, the company expects its Class A ordinary shares and warrants will be listed under the symbols BRRK and BRRKW, respectively.
