Sensata Technologies, Subsidiaries Raise Maximum Amount for Senior Note Tender Offers to $400 Million

Sensata Technologies (ST) and its subsidiaries Sensata Technologies BV, or STBV, and Sensata Technologies Inc., or STI, have increased the maximum tender offer amount for its cash tender offers for three series of notes to $400 million from $350 million, they said Monday.

The note series are STBV's 4.000% senior notes due 2029, STI's 4.375% senior notes due 2030, and STBV's 5.875% senior notes due 2030.

At the early tender deadline of May 29, the tenders of STBV's 2029 notes amounted to around $553.6 million, exceeding the maximum tender offer amount. The subsidiary expects to accept for purchase STBV 2029 notes up to the maximum of $400 million, as the series had the highest level of priority as stipulated in the purchase offer.

The purchase of the STBV 2029 notes will be prorated in accordance with the terms of the applicable tender offer at a rate of more than 69%, and STBV expects to make payments on the early settlement date on Tuesday, according to the statement.
