China Ecotourism delays restructuring circular, receives provisional extension to 13 May 2026

China Ecotourism Group Limited announced a postponement in dispatching its shareholder circular for a comprehensive restructuring proposal. The circular was originally required under Rule 8.2 of the Hong Kong Takeovers Code to be sent by 15 April 2026, 21 days after the 25 March 2026 announcement of the transaction terms.

The company has applied for, and the Executive of the Securities and Futures Commission has indicated it is “minded to grant,” an extension that pushes the deadline to 13 May 2026. Management cited additional time needed to finalise disclosures, including the independent financial adviser’s letter to independent shareholders and materials mandated by Rule 10.11 of the Takeovers Code.

The forthcoming circular will detail: • Capital Reorganisation and Share Premium Cancellation • Creditors Scheme • Change in Board Lot Size • Connected Transaction involving the issue of scheme shares under a specific mandate • Application for a Whitewash Waiver and consent for a Special Deal

China Ecotourism stated that further announcements on the circular’s dispatch will be made in due course. The board, led by Director and CEO Zhu Xinxin, accepted full responsibility for the accuracy of the disclosure.

The company’s current board comprises two executive directors and three independent non-executive directors. No additional financial figures or restructuring terms were disclosed in this notice.
