Luyuan Group Holding: Controlling Shareholders Grant Options for 9.75% Stake Transfer Worth up to HK$360.00 million

Hong Kong—Luyuan Group Holding (Cayman) Limited (“Luyuan Group”) announced that its controlling shareholders, Apex Marine Investments and Drago Investments, have each signed a sale-and-purchase agreement granting call options to two independent investors, Mr. So Ching Tung and Mr. Sze Ching Lau.

Under the agreements dated 22 June 2026, each purchaser may acquire 20.00 million existing shares at HK$9.00 per share—equivalent to a maximum outlay of HK$180.00 million per buyer and HK$360.00 million in aggregate. The options are exercisable, in a single or multiple tranches, any time within three years of signing.

If fully exercised, the transaction would involve 40.00 million shares, representing 9.75% of Luyuan Group’s 410.17 million issued shares (excluding treasury shares). The controlling shareholders’ combined holding would be reduced from 67.69% to 57.94%, yet they would retain control under Hong Kong listing rules.

Stake distribution before and after full exercise: • Controlling shareholders: from 277.66 million shares (67.69%) to 237.66 million shares (57.94%). • New investors: zero to 40.00 million shares (9.75%). • Public and other shareholders: unchanged at 132.51 million shares (32.31%).

Luyuan Group highlighted that introducing the two investors—both prominent Hong Kong business figures with extensive Southeast Asian networks—could diversify the shareholder base and support regional expansion initiatives. The Board does not anticipate any adverse impact on current operations.

Completion remains subject to conditions precedent in the SPAs; therefore, the share transfers may or may not proceed. Shareholders and potential investors are advised to exercise caution when dealing in Luyuan Group securities.
