Huabao International Holdings Limited (Huabao International) disclosed a minor share repurchase on 22 May 2026 under Hong Kong’s Next Day Disclosure Return requirements.
‒ Transaction details: The company repurchased 215,000 ordinary shares on the Hong Kong Stock Exchange at prices between HKD 3.64 and HKD 3.68 per share, representing an average repurchase cost of approximately HKD 3.6634 per share. Total cash consideration reached HKD 0.79 million.
‒ Capital structure impact: Prior to the transaction, Huabao International had 3.23 billion issued shares. Because the repurchased shares had not yet been cancelled as of the disclosure date, the issued share count remains unchanged at 3.23 billion. Once cancelled, the repurchase will reduce the share capital by about 0.01 %.
‒ Mandate utilisation: The repurchase forms part of the mandate approved on 11 May 2026, which authorises buybacks of up to 322.84 million shares. The latest transaction utilises only 0.07 % of that capacity and equates to 0.0067 % of the shares outstanding on the mandate date.
‒ Post-repurchase restrictions: In accordance with Hong Kong listing rules, Huabao International is subject to a moratorium on issuing new shares or selling treasury shares until 21 June 2026.
The board confirmed that the repurchase complied with all applicable listing rules and regulatory requirements.
