Yum China trims share count via US cancellation, intensifies HK/US buy-backs; shares in issue now 348.04 million

Yum China Holdings, Inc. (YUM CHINA) has updated the Hong Kong Stock Exchange on a series of share capital movements up to 29 May 2026, chiefly driven by its ongoing buy-back programme.

Key changes in issued shares 1. Share cancellation in the US: • 69,185 ordinary shares repurchased on 28 May on the NYSE at an average US$43.36 per share were cancelled on 29 May. • This reduced the issued share base by 0.02%.

2. Share issuance under incentive plans: • 76 new shares were allotted on 29 May to settle long-term incentive awards, referenced to a US$42.43 closing price.

3. Net result: • Shares in issue (excluding treasury shares) fell to 348.04 million from 348.11 million—a decrease of 69,109 shares, or 0.02%.

Repurchases pending cancellation • Between 13 March and 29 May, the company bought 1.48 million shares (1.41 million in Hong Kong; 69,496 in the US) that remain to be cancelled. • Hong Kong trades were executed between HK$336.66 and HK$429.11 per share, while the latest US purchase on 29 May was priced between US$42.77 and US$43.52.

Latest daily activity (29 May) • NYSE: 69,496 shares repurchased for US$3.00 million. • HKEX: 22,750 shares repurchased for HK$7.74 million at prices ranging from HK$337.20 to HK$344.00.

Repurchase mandate utilisation • A fresh mandate approved on 28 May authorises the repurchase of up to 34.66 million shares. • Cumulative purchases under this mandate total 184,431 shares, equivalent to 0.05% of the share count on the mandate date.
