Brainhole Tech AGM Agenda: 20% Share Issue Mandate, 10% Buy-Back Capacity and M&A Overhaul

Brainhole Technology Limited will seek shareholder approval at its annual general meeting on 21 May 2026 for several capital-management resolutions and governance updates.

Key proposals

1. Share issue mandate • Directors may issue and deal with up to 160.00 million new shares, representing 20% of the current 800.00 million issued shares. • The mandate will run until the earlier of the next AGM, the statutory meeting deadline or any prior revocation by shareholders.

2. Share repurchase mandate • Authorises on-market buy-backs of up to 80.00 million shares, equivalent to 10% of outstanding stock, within the same validity period as the issue mandate. • An extension mandate would enlarge the share-issue limit by the exact number of shares repurchased, allowing re-issuance of bought-back shares.

3. Board composition • Independent non-executive directors Mr Xu Liang and Ms Zhang Yibo will retire by rotation and stand for re-election.

4. Articles of Association amendments • Adoption of a third amended and restated Articles of Association to align with Hong Kong’s paperless listing regime, electronic communication rules, treasury-share provisions and upcoming uncertificated securities market framework.

Meeting logistics • Venue: Suites 1801–03, 18/F, One Taikoo Place, Hong Kong, 2:00 p.m. on 21 May 2026. • Shareholder register closes 18–21 May 2026; last day to lodge share transfers is 15 May 2026. • Proxy forms must reach Union Registrars by 2:00 p.m. on 19 May 2026.

Directors recommend voting in favour of all resolutions.
