China CBM Reports Stable Share Structure and Confirms Public Float Compliance in July 2026

China CBM Group Company Limited filed its Monthly Return for the period ended 31 July 2026, showing no changes to either authorised or issued share capital during the month.

• Authorised capital stood unchanged at 2.50 billion ordinary shares with a par value of HKD 0.08, representing HKD 200.00 million in authorised share capital.

• Issued share capital also remained steady: 390.45 million ordinary shares were outstanding and none were held in treasury at month-end.

• The company affirmed compliance with Hong Kong’s minimum public-float requirement of 25 percent for its listed ordinary shares.

• Share-based incentives: – The 2022 Share Option Scheme carried 2.68 million outstanding options; no exercises occurred, and no proceeds were raised. – A new scheme approved on 14 July 2026 allows for up to 39.05 million shares to be issued upon future grants and exercises; no options were outstanding at month-end under this scheme.

• China CBM reported no warrants, convertible securities, or other agreements that could affect share capital, and confirmed that all regulatory filings and listing rule obligations were met.

Overall, the July return highlights a stable capital base with full regulatory compliance and capacity for future option-related issuance without immediate dilution.
