ADICON will hold its 2026 annual general meeting on 27 May 2026 in Hong Kong. Key resolutions include:
• New general mandates – Directors seek authority to 1) repurchase up to 10% of issued share capital, equivalent to 72.56 million shares (excluding 1.62 million treasury shares); and 2) allot and issue (or sell treasury shares) up to 20% of issued share capital, or 145.13 million shares. The sale mandate may be extended by the number of shares actually repurchased. Existing mandates granted in May 2025 will lapse at the AGM and, as of the latest practicable date, remain unused.
• Director re-elections – Four directors are due for rotation and have offered themselves for re-election: – Mr. Wang Legang, Executive Director, Interim CEO and COO – Mr. Li Bo, Non-executive Director – Mr. Zhou Mintao, Non-executive Director – Mr. Zhang Wei, Independent Non-executive Director
• Auditor – Re-appointment of Ernst & Young is proposed, with an expected FY2026 audit fee range of HK$4.00 million to HK$6.50 million.
Share capital snapshot (29 Apr 2026): 727.26 million shares issued, including 1.62 million held in treasury. Pearl Group Limited owns 281.54 million shares (38.71%). Under a full 10% buyback, Pearl’s stake would rise to roughly 43.00%, potentially triggering a mandatory offer under Hong Kong’s Takeovers Code; the board states it has no present intention to repurchase to that extent.
All resolutions will be decided by poll. Proxy forms must reach Tricor Investor Services by 25 May 2026.
