On 4 June 2026, the Executive of the Hong Kong Code on Takeovers and Mergers released a Rule 22 disclosure detailing derivative dealings in the A-shares of ENN Natural Gas Co., Ltd. (abbreviation: ENN Natural Gas) executed by Morgan Stanley Bank, N.A.—a Class (5) associate connected with the offeror in the company’s proposed privatisation by way of scheme of arrangement.

All trades were completed on 3 June 2026 for Morgan Stanley Bank, N.A.’s own account and involved “other types of products” linked to ENN Natural Gas A-shares, with the following key parameters:

• Purchases: 200 reference securities at RMB 19.5127 per share, for a total consideration of RMB 3.90 million, maturing 23 August 2027. • Sales: an aggregate 7,050 reference securities across three maturities—26 February 2027, 31 August 2027 and 9 March 2028—at prices between RMB 19.49 and RMB 19.62 per share, generating total proceeds of approximately RMB 137.50 million.

Post-transaction, Morgan Stanley Bank, N.A. reported a resultant balance of zero in ENN Natural Gas A-share-linked derivatives, indicating all positions were closed on the trade date.

The disclosure underscores the bank’s status as an associate of the offeror during the ongoing privatisation process of ENN Natural Gas. All amounts were settled in renminbi (RMB).
