GAUSH MEDITECH Sees Major Share Transfer from Controlling Shareholder

GAUSH MEDITECH (02407) has announced a significant transfer of shares by its controlling shareholder. The company was informed by Mr. Gao Tieta, the controlling shareholder, executive director, and board chairman, that his wholly-owned company, GAUSH HOLDING Ltd (the donor or GT HoldCo), entered into a deed of gift with Godax Ltd (Godax) and Kleido Limited (Kleido, collectively the donees) on June 1, 2026.

Under this agreement, the donor will transfer 31.7219 million company shares, each with a par value of USD 0.0001, to the donees. This represents approximately 21.45% of the company's total issued share capital. The breakdown includes 7.3205 million shares (about 4.95% of issued capital) transferred to Godax and 24.4015 million shares (about 16.50% of issued capital) transferred to Kleido.

Godax is ultimately wholly owned by Mr. Gao Jinta, the elder brother of Mr. Gao Tieta. Kleido is ultimately wholly owned by Mr. Gao Ran, the son of Mr. Gao Tieta. The primary purpose of this share transfer is to reallocate family assets among members and to reinforce the family's collective commitment to the future prosperity and development of the group.
