Zylox-Tonbridge Cuts Free Float by 0.02% Through HKD 1.15 Million H-Share Buyback

Zylox-Tonbridge Medical Technology Co., Ltd. (ZYLOXTB) disclosed a repurchase of 54,500 H shares on 23 September 2026 under its existing buyback mandate approved on 13 May 2026.

The on-market transaction was executed on the Hong Kong Stock Exchange at prices ranging from HKD 20.92 to HKD 21.18 per share, for a total consideration of approximately HKD 1.15 million. The volume-weighted average price reported in Section I of the filing was RMB 21.08 per share.

Key capital changes: • Outstanding H shares (excluding treasury shares) declined from 322.55 million to 322.49 million, a marginal reduction of 0.02%. • Treasury shares increased to 13.86 million, reflecting the transfer of the repurchased stock. • Total issued share capital remained unchanged at 336.35 million shares, as the repurchased shares are being held as treasury shares and have not been cancelled.

Mandate utilisation: • Zylox-Tonbridge is authorised to repurchase up to 32.72 million shares. • Cumulative repurchases under the mandate now total 4.96 million shares, equivalent to 1.48% of the company’s issued share base at the mandate date. • In line with Hong Kong listing rules, the company is restricted from issuing new shares or disposing of treasury shares until 23 October 2026.

The board confirmed that the buyback complied with all applicable listing rules and regulatory requirements, and that the funds for the purchase have been fully settled.
