Anhui Expressway Company Limited will convene its 2025 Annual General Meeting (AGM) at 14:30 on 26 June 2026 in Hefei, Anhui. Shareholders on record at the close of trading the same day are entitled to attend or vote by proxy or, for A-share holders, through the Shanghai Stock Exchange’s online voting system.
Key resolutions to be tabled:
• Operating and Financial Reporting The Board’s 2025 report and the audited financial statements will be submitted for ordinary-resolution approval.
• Profit Distribution Plan A 2025 dividend proposal—distribution amount to be disclosed at the AGM—will be put to a vote. H-share holders must be on the register by 3 July 2026 to receive the payout, which will be converted to Hong Kong dollars at the PBoC’s five-day average RMB/HKD rate preceding the AGM. Cheques are scheduled to be mailed by 31 July 2026.
• Auditor Re-appointment The Board seeks to re-appoint the existing audit firm for 2026 and authorise directors to set remuneration.
• Continuing Connected Transaction Shareholders will vote on ratifying deposit and credit-facility services under the 27 March 2026 Financial Services Agreement with Anhui Transportation Holding Group Finance Company. Approval includes confirmation of the associated annual caps and authority for directors to execute related documents.
• Remuneration Framework An ordinary resolution will consider new Administrative Measures for Director and Senior Management remuneration.
• General Mandate for Equity Financing A special resolution will authorise the Board to issue, allot or deal with additional A and/or H shares of up to 20% of each class’s issued share capital during the mandate period (from AGM approval until the next AGM or earlier revocation). The mandate covers ordinary shares, preference shares, convertible securities, options and warrants, and empowers the Board to set terms, engage professional advisers, amend corporate filings and adjust registered capital accordingly.
Share Transfer Timetable for H Shares – Register closes 23–26 June 2026 (inclusive) for AGM attendance. – Register closes 3–8 July 2026 (inclusive) for dividend entitlement; transfer documents must reach Computershare Hong Kong by 16:30 on 2 July 2026.
Meeting logistics Shareholders and proxies must present identification; travel and accommodation costs are borne individually. The AGM is expected to last half a day.
