Tigermed Calls 9 June 2026 EGM to Seek Approval for On-Market A-Share Buyback

Hangzhou Tigermed Consulting Co., Ltd. (Tigermed) has scheduled an extraordinary general meeting for 3:00 p.m. on Tuesday, 9 June 2026, at its Hangzhou headquarters to vote on a special resolution authorising an A-share repurchase via centralized price bidding.

Key agenda item • Share buyback mandate – Shareholders will decide whether to empower the Board to repurchase a defined number of A shares within a specified price range and timeframe, using funds sourced internally. The resolution covers the purpose of the buyback, eligibility conditions, execution method, share quantity, funding, pricing principles, period, and subsequent administrative authority delegated to the Board.

Voting and shareholder logistics • Voting will be conducted by poll, with A- and H-shareholders voting as a single class; at least two-thirds of votes cast must support the resolution for it to pass. • The H-share register will be closed from 4 June 2026 to 9 June 2026 (both dates inclusive). Investors whose names appear on the register on 9 June 2026 may participate. • H-shareholders must lodge transfer documents with Tricor Investor Services Limited by 4:30 p.m. on 3 June 2026 to qualify for attendance. • Proxy forms for H-shareholders must reach Tricor no later than 24 hours before the meeting.

Board composition As of the notice date (19 May 2026), the Board comprises four executive directors—Dr. Ye Xiaoping (Chairman), Ms. Cao Xiaochun, Mr. Wu Hao and Mr. Wen Zengyu—and three independent non-executive directors—Mr. Liu Kai Yu Kenneth, Mr. Yuan Huagang and Ms. Liu Yuwen.

Shareholders or their proxies will bear their own travel and accommodation costs for the half-day meeting and must present valid identification upon entry.
