Qeeka Home Seeks Fresh Issuance and Buy-Back Mandates, Confirms Board Changes and Auditor Re-appointment for 21 May 2026 AGM

Qeeka Home (Cayman) Inc. has issued its AGM circular outlining four key resolutions to be tabled on 21 May 2026 in Shanghai.

Share capital proposals • A new general mandate would authorise the board to allot and issue up to 20% of the current share base, equivalent to 229.00 million shares, plus any shares repurchased. • A parallel mandate would permit the company to repurchase up to 10% of its issued share capital—114.50 million shares—during the coming year. Both mandates would remain in force until the next AGM or earlier revocation.

Board composition • Three directors will retire by rotation and stand for re-election: executive director Tian Yuan and independent non-executive directors Zhang Lihong and Cao Zhiguang. • The Nomination Committee has confirmed that the two independent directors continue to meet Hong Kong Listing Rule independence criteria.

Auditor • BDO Limited, appointed in December 2025 following the resignation of PwC, is nominated for re-appointment as external auditor. The estimated audit fee for the year ending 31 December 2026 is RMB 2.48 million.

Key dates • Register of members closure: 18–21 May 2026 (both days inclusive). • Record date for AGM voting: 21 May 2026. • Venue: Noah Conference Room 3, 3/F, Crowne Plaza Shanghai Noah Square, Putuo District. Meeting time: 10:30 a.m.

Capital structure snapshot As of 17 April 2026, Qeeka Home had 1.145 billion issued shares and held no treasury shares. Chairman and CEO Deng Huajin—through Qeeka Holding Limited—and spouse Sun Jie collectively control 26.93% of issued shares; full exercise of the repurchase mandate would raise their combined interest to 29.92%, still below the 30% takeover threshold.

Shareholders are encouraged to submit proxy forms at least 48 hours before the meeting if they cannot attend in person.
