Harbin Bank Proposes Full Takeover of Chengdu Qingbaijiang Rongxing Village and Township Bank and Conversion to Sub-Branch

Harbin Bank Co., Ltd. disclosed on 8 May 2026 that its board has approved a proposal to acquire the remaining 30% equity interest in Chengdu Qingbaijiang Rongxing Village and Township Bank Co., Ltd., a rural lender founded by Harbin Bank in September 2017 with registered capital of RMB100 million. Harbin Bank currently owns 70% of the target company.

The transaction will be structured as an absorption-type merger. After acquiring the minority stake from independent third-party shareholders, Harbin Bank will dissolve the village and township bank’s legal-person status and convert it into a sub-branch. All assets, liabilities, businesses and personnel of the target will be assumed by Harbin Bank.

Because the target’s financial statements are already consolidated into the group’s accounts, management expects no material impact on Harbin Bank’s financial condition or operating results. The deal will not alter the bank’s name, registered capital or shareholding structure.

Based on preliminary calculations, the highest applicable percentage ratio under the Hong Kong Listing Rules is below 5%, so the acquisition does not constitute a notifiable or connected transaction. Completion remains subject to approval from the local office of the National Financial Regulatory Administration.

Shareholders will vote on the special resolution at Harbin Bank’s Second Extraordinary General Meeting of 2026, scheduled for 09:00 on 29 May 2026 at the bank’s headquarters in Harbin, Heilongjiang Province. The H-share register will be closed from 23 May to 29 May 2026, and the record date for voting entitlement is 29 May 2026. Proxies must be lodged at Computershare Hong Kong Investor Services Limited or the bank’s Board Office at least 24 hours before the meeting.
