OrbusNeich Medical Group (OrbusNeich) reported that shareholders approved every motion tabled at the Annual General Meeting (AGM) held on 8 June 2026. The meeting drew 530.90 million voting shares, representing approximately 64.12% of the 827.97 million shares in issue.
Key outcomes are as follows:
• Financial Statements Adopted: The FY 2025 audited consolidated results and accompanying reports were endorsed with 100% of votes cast (530.90 million) in favour.
• Board Composition Confirmed: – Re-election of Non-Executive Director Mr. Ting San Peter Lionel Leung and Independent Non-Executive Director (INED) Mr. Yip Keung Chan received 99.98% support. – Election of Mr. Ka Keung Lau BBS, MH, JP as INED passed with 99.99% support. – The Board was authorised to fix directors’ remuneration (100% approval).
• Auditor Re-appointment: PricewaterhouseCoopers retained as external auditor with 99.50% backing; the Board is authorised to determine its fees.
• Capital Mandates: – Issuance mandate: Directors may allot or transfer treasury shares up to 20% of issued share capital, approved by 99.49% of votes. – Share repurchase mandate: Authority to buy back up to 10% of issued shares secured unanimous approval.
• Dividend Declaration: A final cash dividend of HK 0.12 per share for FY 2025 will be paid on or around 26 June 2026 to shareholders on record at 4:30 p.m. on 16 June 2026. The register of members will close from 12–16 June 2026 for entitlement determination.
All seven board directors participated in the AGM via physical or electronic means. Computershare Hong Kong Investor Services acted as scrutineer. No shareholders abstained or voted against any resolution, and no special conditions under the Listing Rules applied.
