Guangdong Yueyun Transportation Company Limited (YUEYUN TRANS) announced that all five ordinary resolutions tabled at its Annual General Meeting (AGM) on 26 June 2026 were approved by poll, with support levels ranging from 99.99% to 100.00% of the 669.62 million votes cast.
The AGM, held in Guangzhou, confirmed: • The 2025 Board report and audited financial statements. • A final cash dividend of RMB0.09 per share (tax inclusive) for the year ended 31 December 2025, equivalent to HKD0.103 based on the PBoC five-day average rate of HKD1 = RMB0.870. • Appointment of KPMG Huazhen as the new independent auditor, replacing BDO, until the next AGM. • Authorisation for the Board to set directors’ and auditor’s remuneration.
Dividend timetable and tax treatment • Share transfer registration for H-share holders will be suspended from 7 July 2026 to 10 July 2026 (both days inclusive). • Entitlement date: 10 July 2026. • Payment date: on or before 30 September 2026. • PRC enterprise shareholders will face a 10% withholding tax; PRC individual shareholders, 20%. Individual shareholders whose registered addresses are in Hong Kong or outside the PRC are exempt from PRC individual income tax. • Domestic shareholders will receive the dividend in RMB; H-share investors will be paid in HKD via Bank of China (Hong Kong) Ltd.
Capital base and dividend scale As of the record date, the company’s issued share capital stood at 799.85 million shares. The approved dividend implies a total cash distribution of approximately RMB71.99 million for FY2025.
Attendance and voting Nine of ten directors were present as required by Hong Kong Listing Rule 13.39(5A). No shareholder was required to abstain, and no votes were recorded against any resolution except for a nominal 40,000 opposing votes on the first two items.
