China Resources Land: AGM to Seek 10% Share Buy-Back Mandate, 20% Issuance Capacity, RMB0.97 Final Dividend and Auditor Switch to Deloitte

China Resources Land Limited will convene its Annual General Meeting (AGM) on 9 June 2026 in Shenzhen to vote on several key resolutions affecting capital management, board composition, dividends and audit arrangements.

Key AGM Proposals 1. Capital Management • Share Repurchase Mandate: The board seeks authority to buy back up to 10% of issued shares (up to 713.09 million shares based on the 7.13 billion shares outstanding as at 11 May 2026). • Share Issuance Mandate: Directors request approval to allot and issue new shares equal to 20% of current issued capital (up to 1.43 billion shares) and to extend this mandate by the number of shares repurchased. Repurchased shares may be cancelled or held as treasury stock for future resale or share schemes.

2. Board Changes Seven directors are standing for re-election: • Executive: Hao Zhongming, Zhao Wei • Non-executive: Wang Yuhang • Independent Non-executive: Zhong Wei, Sun Zhe, Frank Chan Fan, Leong Kwok-kuen (Lincoln)

3. Dividend Payout • Final Dividend: RMB0.966 per share for FY 2025 (FY 2024: RMB1.119). • Currency: Payable in Hong Kong dollars by default, with an option for shareholders to elect RMB. • Record Date: 17 June 2026; book closure 17-23 June 2026. • Payment Date: 3 August 2026.

4. Auditor Rotation • KPMG will retire at the AGM. • Board and Audit Committee propose appointing Deloitte Touche Tohmatsu as new external auditor. • Estimated FY 2026 audit fee: RMB14.70 million–RMB16.50 million.

Timeline & Voting • Register of members closed 3-9 June 2026 for AGM attendance; share transfers must be lodged by 2 June 2026. • All AGM resolutions will be decided by poll.
