Yangzijiang Maritime Development holds inaugural AGM, declares S$0.005 dividend and renews mandates

Yangzijiang Maritime Development Ltd. held its first annual general meeting on Apr, 30 2026 at the NTUC Centre in Singapore.

Shareholders approved a tax-exempt final dividend of 0.5 Singapore cent per ordinary share for the financial year ended Dec, 31 2025, representing about 40% of FY2025 post-spin-off earnings. The company posted FY2025 net profit attributable to shareholders of US$129.7 million.

All resolutions were passed by poll. These included the adoption of FY2025 audited financial statements, directors’ fees of S$18,681.33, and the re-election of Executive Chairman and Chief Executive Officer Ren Yuanlin, Lead Independent Director Teh Wing Kwan and Independent Director Wang Jiansheng. PricewaterhouseCoopers LLP was re-appointed as external auditor.

Shareholders also renewed the authority allowing directors to issue new shares up to 50% of the company’s issued share capital, with a limit of 20% for non-pro-rata issues, and extended the share buyback mandate for up to 10% of issued shares.

During the meeting management reiterated its asset-light “financial shipowner” model, confirmed plans to pay for committed vessel orders with existing cash before selectively using bank financing, and noted the proposed dividend aligns with its focus on sustainable shareholder returns.
