UOL Group answers shareholder queries ahead of Apr, 27 2026 AGM

UOL Group Limited on Apr, 21 2026 released detailed written responses to substantial and relevant questions submitted by shareholders in advance of its 63rd Annual General Meeting, scheduled for Apr, 27 2026 at PARKROYAL on Beach Road, Singapore.

The company said the proposed redevelopment of Marina Square remains under review by the Urban Redevelopment Authority. Provisional Permission was obtained in the third quarter of 2023, and a revised plan — incorporating a residential tower, serviced apartments and a mixed-use block — was lodged in the second half of 2025. While approvals are pending, the Marina Square mall and its three hotels continue normal operations.

Regarding geopolitical risks, UOL noted that about 90% of its adjusted EBITDA and 85% of its total assets are in Singapore, and that the current Middle East conflict has had limited impact on bookings. The group has hedged a significant portion of electricity costs for more than two years and said energy typically represents about 2% of operating expenses.

On portfolio strategy, management said divestments such as last year’s sale of KINEX are considered when an asset’s potential is maximised and capital can be redeployed for higher returns. For the year ended Dec, 31 2025, 76% of adjusted EBITDA came from recurring income, with the remaining 24% from residential development.

UOL’s gearing stands at roughly 20%, which the board views as providing flexibility for acquisitions and asset enhancements. Management added that it does not disclose a target mix between development income and recurring revenue but remains “disciplined and selective” in capital allocation.

The company reiterated that it will keep evaluating options under its total portfolio management strategy to enhance long-term shareholder value rather than pursue structural separation to address perceived valuation discounts.
