Evergreen Products Group Limited (“EVERGREEN PG”) has called its 2026 Annual General Meeting (AGM) for 15 May 2026 at 3:00 p.m. in Kwai Chung, Hong Kong. Key items to be tabled for shareholder approval are summarised below.
Dividend Proposal • A final dividend of HK2.70 cents per share for FY 2025 is proposed. • The books will close from 21 May 2026 to 29 May 2026, with 29 May 2026 set as the record date for entitlement.
Financial Statements • Shareholders will vote on the adoption of the audited consolidated results of EVERGREEN PG and its subsidiaries for the year ended 31 December 2025.
Board Composition • Re-election of Executive Director Mr Li Yanbo. • Appointment of Mr Tseung Yuk Hei, Kenneth and Mr Cheng Man Tak, Richard as Independent Non-Executive Directors. • The Board will be authorised to determine directors’ remuneration.
Auditor Re-appointment • Forvis Mazars CPA Limited is nominated to continue as external auditor for the year ending 31 December 2026, with its fees to be set by the Board.
Share Repurchase Mandate • Directors seek authority to repurchase up to 10% of the company’s issued share capital (excluding any treasury shares) during the mandate period, subject to Hong Kong Listing Rules.
Share Issuance Mandate • A separate mandate would authorise directors to allot and issue new shares—or sell/transfer treasury shares—up to 20% of issued share capital. • Conditional upon both mandates passing, the issuance limit may be extended by the number of shares repurchased, effectively adding up to another 10% capacity.
Constitutional Update • A special resolution proposes adopting the Fifth Amended and Restated Memorandum and Articles of Association, replacing the current version.
Meeting Logistics • The share register will be closed from 11 May to 15 May 2026 (both dates inclusive) for AGM attendance eligibility; the record date is 15 May 2026. • Proxy forms must reach Tricor Investor Services Limited by 3:00 p.m. on 13 May 2026 (Hong Kong time). • All resolutions will be decided by poll, with results published on the Hong Kong Stock Exchange and company websites.
Contingency • If a black rainstorm warning or typhoon signal No. 8 (or above) is in force between 1:00 p.m. and 3:00 p.m. on the meeting day, the AGM will be postponed; new details will be announced separately.
