Bank of China: Board Greenlights RMB350.00 Billion 2026-2027 Bond Quota, Confirms Q1 Results and Preference Share Dividends

Bank of China (03988) reported that its Board met in Beijing on 29 April 2026, with all 16 directors present. All resolutions were passed by open ballot.

Q1 2026 Reporting • The Board approved both the 2026 First Quarter Report and the accompanying Pillar 3 Disclosure; documents were released simultaneously on the HKEX and Bank websites.

Preference Share Dividends • Domestic Preference Shares (Third Tranche): dividend of 2.54 billion RMB, payable 29 June 2026, at a fixed rate of 3.48%. Last trading date 25 June; record and ex-dividend dates 26 June. • Domestic Preference Shares (Fourth Tranche): dividend of 0.88 billion RMB, payable 31 August 2026, at a fixed rate of 3.27%. Last trading date 27 August; record and ex-dividend dates 28 August. Independent non-executive directors confirmed compliance with laws and the Articles of Association.

2026-2027 Financial Bond Plan • The Bank may issue up to 350.00 billion RMB of financial bonds in domestic and overseas markets between 1 July 2026 and 30 June 2027 (excluding capital-related instruments). Proceeds are designated for general corporate purposes. Any unused quota remains valid until shareholders approve a new limit. The plan requires subsequent shareholder approval.

Outbound Donation Limit • An outbound donation ceiling of 144.58 million RMB for 2026 was endorsed. Within this limit, management may execute individual projects, including three Hong Kong-based initiatives exceeding 8 million RMB each.

Governance Actions • Re-appointment nominations for non-executive directors Liu Hui and Shi Yongyan were approved for submission to the forthcoming Annual General Meeting (AGM). • The Board also approved routine reports on major shareholders and prior authorizations.

AGM Notice • The 2025 AGM notice and circular will be issued separately.

All resolutions passed with no opposing votes, underscoring unanimous Board support for the outlined capital, dividend and governance measures.
