DMALL Undertakes HK$2.44 Million Share Buyback and Issues 0.47 Million New Shares Under Incentive Schemes

DMALL Inc. (Hong Kong-listed, stock code 02586) has filed a Next Day Disclosure Return dated 2 October 2026 outlining concurrent share repurchase activity and share issuances linked to employee incentive plans.

Share Repurchase • On 2 October 2026 the company bought back 285,000 ordinary shares on the Stock Exchange at prices ranging from HK$8.24 to HK$8.65, for a total consideration of HK$2.44 million. • The volume-weighted average repurchase price was approximately HK$8.56 per share. • All repurchased shares have been retained as treasury stock, lifting the treasury share balance to 71.97 million.

Share Issuances to Employees • Between 25 September and 2 October 2026 DMALL allotted an aggregate 474,500 new shares under its 2016 and 2020 Share Incentive Plans. • Issue prices ranged from HK$0 (for awards under the 2020 plan) to HK$7.84, generating roughly HK$2.06 million in gross proceeds, equal to an average issue price of HK$4.34 per share. • The new shares represent 0.05% of DMALL’s pre-issue share base.

Resulting Share Capital • Issued shares (excluding treasury stock) rose marginally by 0.02% to 866.07 million. • Including treasury shares, total issued shares increased to 938.04 million. • Net of the buyback, the company’s treasury shareholding expanded by 285,000 shares, now equivalent to 7.67% of total issued shares.

Repurchase Mandate Status • DMALL’s current general mandate, approved on 5 June 2026, authorises repurchases up to 88.37 million shares. • Cumulative repurchases under this mandate now stand at 18.17 million shares, or 2.06% of the shares outstanding on the mandate date, leaving capacity for a further 70.20 million shares. • In accordance with Hong Kong listing rules, DMALL is subject to a moratorium on new share issues or treasury share sales until 1 November 2026.

Governance Confirmation The board confirms that all repurchases and share issuances were duly authorised, funds were properly received or paid, and all regulatory filings and requirements have been met.
