TK Group AGM: Shareholders Approve HK 0.162 Dividend and All Resolutions, Renew 20% Issuance Mandate

TK Group (Holdings) Limited held its annual general meeting on 21 May 2026, where all 12 resolutions were approved by poll. A total of 833.26 million shares—representing 100% of issued capital—were eligible to vote, with Tricor Investor Services acting as scrutineer.

The meeting adopted the audited consolidated financial statements for the year ended 31 December 2025 and received the accompanying directors’ and independent auditor’s reports. PricewaterhouseCoopers was re-appointed as external auditor, backed by 663.41 million votes in favour (97.17%).

Dividend distribution was confirmed at HK 6.2 cents per share (final) plus HK 10 cents per share (special), amounting to HK 0.162 per share for FY 2025; the resolution secured unanimous support with 682.74 million votes.

Board composition remained unchanged. Executive directors Mr Lu Gong Shan, Mr Yung Kin Cheung Michael and Mr Cheung Fong Wa were re-elected with approval rates of 99.41%, 98.08% and 98.43%, respectively. Independent non-executive director Dr Chung Chi Ping Roy was re-elected with 85.75% support. Shareholders also authorised the Board to fix directors’ remuneration, garnering 655.08 million affirmative votes (95.95%).

Capital management mandates were renewed: • General issuance mandate: directors may allot and issue shares up to 20% of existing share capital, approved by 628.69 million votes (92.08%). • Share repurchase mandate: up to 10% of shares may be bought back, endorsed by 682.57 million votes (99.98%). • Extension mandate: size of the issuance mandate may be increased by the number of shares repurchased, backed by 84.66% of votes.

A special resolution to amend and restate the Company’s memorandum and articles of association passed with 681.06 million votes (99.75%), completing the suite of approvals.

All directors attended the AGM in person or electronically, and no shareholder was required to abstain from voting on any resolution.
