GOME Retail Sets 17 June 2026 AGM; Proposes Director Re-elections, New Auditor and Revised Bye-Laws

GOME Retail Holdings Limited has issued the proxy form and agenda for its Annual General Meeting scheduled for 17 June 2026 at 2:00 p.m. (3/F, Office Plus, 93-103 Wing Lok Street, Sheung Wan, Hong Kong). Key items up for shareholder approval are as follows:

• Financial Statements: Adoption of the audited consolidated financial statements and the reports of the directors and auditor for the year ended 31 December 2025.

• Board Composition: Re-election of independent non-executive directors Mr. Lui Wai Ming and Mr. Liu Yin Hong.

• Remuneration: Authorisation for the board to determine directors’ remuneration.

• Auditor Appointment: Proposal to appoint CCTH CPA Limited as the Company’s auditor and authorise the board to set its remuneration.

• Share Mandates: – General mandate empowering the board to allot, issue and deal with shares, including the sale of treasury shares. – General mandate permitting the buy-back of the Company’s shares. – Extension of the share issue mandate by the number of shares bought back under the repurchase mandate.

• Corporate Governance: Special resolution to approve the amended and restated Bye-Laws of the Company.

Shareholders wishing to vote by proxy must submit completed forms to Tricor Investor Services Limited (17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong) no later than 48 hours before the meeting. The proxy holder need not be a member of the Company but must attend the AGM in person to represent the shareholder.
