Significant Share Transfer in New Higher Edu Group with Total Value of HK$60.15 Million

According to the latest data from the Hong Kong Stock Exchange, a notable transfer of shareholdings in NEW HIGHER EDU (02001) occurred on July 14th. The total value of the transferred shares amounted to HK$60.1535 million, representing 5.17% of the relevant holdings.

The transaction involved a shareholder transferring 100 million shares to UBS Securities Hong Kong and moving 101 million shares out from Citibank.

In a related corporate development, NEW HIGHER EDU had previously announced an agreement. On May 29, 2026, a sale and purchase agreement was signed between the seller, Beijing Da'ai Shuren Education Consulting Co., Ltd. (a consolidated affiliated entity of the company), the buyer, Guangxi Yinghua Haian Education Investment Co., Ltd., and the target company, Songming Xinju Enterprise Management Co., Ltd. Under this agreement, the seller agreed to sell, and the buyer agreed to purchase, the sale shares for a consideration of RMB 360 million.

Following the completion of this transaction, the target company, which is the sole shareholder of the Guangxi school's operator, will be wholly owned by the buyer. Consequently, the target company will cease to be a subsidiary of NEW HIGHER EDU.

Furthermore, the related structured contracts have been terminated and are no longer in effect. As a result, the financial results of the Guangxi school will also no longer be consolidated into the group's financial statements.
