The company has announced that following a regulatory notification, several events have occurred. Firstly, as detailed in announcements by Zhongan Group Limited on August 31, September 15, and September 29, 2025, Zhongan Group entered into a placing agreement with Smart Oriental Securities Limited on August 31, 2025. Under this agreement, a total of 11.204 million existing shares then indirectly held by Zhongan Group were placed to no fewer than six placees at a price of HK$3.53 per share. This represented approximately 2.17% of the company's issued share capital immediately before and after the completion of this placing.

Secondly, as disclosed in joint announcements by the company and Zhongan Group Limited dated February 9 and February 27, 2026, the company entered into a placing agreement with Smart Oriental Securities Limited on February 9, 2026. A total of 25.45 million new shares were placed to no fewer than six placees at a price of HK$1.52 per share. This represented approximately 4.69% of the company's enlarged issued share capital immediately following the completion of this placing.

Upon completion of the above placings, Zhongan Group Limited's shareholding in the company was reduced from approximately 73.44% of the issued shares at that time to approximately 67.94% of the issued shares as of the date of this announcement. The company's board believes these placings have helped to broaden the company's shareholder base.

The company considers that the aforementioned placings have assisted in widening its shareholder base and have helped to address the high concentration of shareholding that existed as of August 27, 2025. The company wishes to clarify that the share concentration described in the regulatory notice only reflected the company's shareholding structure as of August 27, 2025, and should not be used as a basis for assessing the current state of the company's ownership structure.
