ENN Energy: Morgan Stanley Reports USD 0.48 Million Derivative Trades During Privatisation Process

On 9 June 2026, the Executive received a Rule 22 disclosure under the Hong Kong Code on Takeovers and Mergers regarding the proposed privatisation of ENN Energy Holdings Limited (ENN Energy) by way of scheme of arrangement.

Morgan Stanley & Co., International plc—classified as a Class (5) associate connected with the offeror—reported the following unsolicited client-facilitation derivative transactions in ENN Energy shares executed on 8 June 2026:

• Purchase of 2,273 reference securities maturing 31 May 2033 at a reference price of USD 50.4354, involving a consideration of approximately USD 0.11 million.

• Sale of 300 reference securities maturing 21 May 2027 at a reference price of USD 50.4333, generating USD 0.02 million.

• Sale of 7,000 reference securities maturing 28 March 2029 at a reference price of USD 50.4438, amounting to USD 0.35 million.

Total reported value across the three trades reached approximately USD 0.48 million.

Following these transactions, Morgan Stanley & Co., International plc held no outstanding derivative position in ENN Energy. The firm, ultimately owned by Morgan Stanley, carried out the dealings on its own account.
