Smart-Core Raises HK$293.21 Million via Placement, Lifts Issued Shares by 20% in July

Smart-Core Holdings Limited disclosed in its July 2026 Monthly Return that it issued 97.74 million new ordinary shares through a placing/subscription completed on 13 July 2026 at HK$3 per share, following shareholder approval on 22 May 2026. The transaction expanded the company’s issued share base to 586.42 million shares from 488.68 million at end-June, representing a 20.00% month-on-month increase and generating gross proceeds of approximately HK$293.21 million.

The company confirmed that its public float comfortably meets the Main Board’s 25% minimum requirement, with no treasury shares outstanding. All 5.00 billion authorised shares (par value US$0.00001 each) remain unchanged, keeping total authorised share capital at US$50,000.

No share options were exercised during the month, leaving zero options outstanding and 50 million shares still available for future grants under the 2016 Share Option Scheme. Smart-Core reported no warrants, convertible securities, share buy-backs, or other share-issuing arrangements for the period.

The filing was submitted on 3 August 2026 by Company Secretary Chak Wing Man, who confirmed compliance with Hong Kong Listing Rules and other regulatory requirements.
