XINTE ENERGY (01799) has announced a leadership transition, with Mr. Nan Xinjian stepping down from his roles as General Manager, Executive Director, and member of the Board's Remuneration and Assessment Committee. The resignation, effective from the date of this announcement, is attributed to his need to dedicate more time to personal family matters. Following his resignation, Mr. Nan will continue to serve the company in other capacities.

Upon review and approval at a board meeting, Mr. Wang Bin has been appointed as the new General Manager. His term commenced on the date of this announcement and will extend until the conclusion of the fifth session of the Board of Directors. In a move to refine the corporate governance framework, the Board's Nomination Committee, having considered the company's board diversity policy and the required skill set, has also put forward a recommendation for Mr. Wang's appointment as an Executive Director.

The proposed appointment of Mr. Wang as an Executive Director is subject to shareholder approval via an ordinary resolution at a general meeting. If ratified, his tenure as an Executive Director will run from the date of shareholder approval until the expiry of the fifth session of the Board. Concurrently, the Board has recommended appointing Mr. Wang to the Remuneration and Assessment Committee, with a term aligning with his directorship.
