Tanwan Inc. will convene its annual general meeting (AGM) on 17 June 2026 at the company’s Guangzhou headquarters. Shareholders will vote on four principal items:
1. Capital Authorities • Issue Mandate: Directors seek authority to allot, issue or transfer up to 20% of existing issued shares, equal to 104.57 million shares based on the 522.87 million shares outstanding (excluding treasury stock) as at 24 April 2026. • Buy-Back Mandate: Management requests approval to repurchase up to 10% of issued shares, a ceiling of 52.29 million shares. The buy-back mandate will run until the next AGM, earlier expiry under company articles, or shareholder revocation.
2. Board Composition • Re-election of Wu Xuan (Executive Director & COO) and Zheng Yi (Independent Non-executive Director). The nomination committee cited their sector experience—game operations and finance respectively—and confirmed Zheng Yi’s independence.
3. Auditor Appointment • Re-appointment of Ernst & Young. Estimated audit fees for FY-2026 are set between RMB6.00 million and RMB7.00 million, subject to final scope and timeline.
4. Administrative Items • Voting will be conducted by poll. • The register of members will close 12–17 June 2026; the record date for voting rights is 17 June 2026. • Proxy forms must be lodged with Tricor Investor Services by 10:30 a.m. on 15 June 2026.
As of 24 April 2026 Tanwan held 11.57 million treasury shares after on-market buy-backs totaling HKD174.90 million to date. Any further repurchases must preserve the minimum 25% public float and avoid triggering a mandatory offer under Hong Kong’s Takeovers Code.
