Netjoy Holdings Limited announced a further postponement in releasing several sets of financial statements, citing continuing independent investigations and auditor reviews.
The FY2025 annual results and report, originally due by 31 March 2026 and 30 April 2026 respectively, will not be published on schedule. In parallel, the FY2024 annual results and report, as well as the FY2025 interim results and report, remain outstanding. Management judged that issuing unaudited figures could misrepresent the company’s financial position and potentially mislead investors.
An independent firm has circulated a draft investigation report dated 18 March 2026 covering large-sum prepayments to two suppliers, related approval processes, staff responsibilities and internal-control deficiencies. Netjoy has forwarded the draft to the Hong Kong Stock Exchange and is working toward a final report.
Audit work continues as the external auditor reviews evidence, including the draft investigation findings, before signing off the FY2024 accounts. Separately, an external consultant is conducting an internal-control review to address any deficiencies and recommend remedial actions.
Operationally, Netjoy reports normal business activity; first-quarter 2026 revenue was broadly flat year-on-year, and liquidity remains “sound,” according to the company.
Trading in Netjoy shares has been suspended since 1 April 2025 and will remain so until all resumption conditions set by the Stock Exchange are satisfied. The company plans to issue further updates on publication timelines and investigation outcomes when available.
