Tianju Dihe releases quarterly resumption update; forensic probe and internal-control overhaul nearing completion

Tianju Dihe (Suzhou) Technology Co., Ltd. (TIANJUDIHE, 02479) on 10 July 2026 issued its latest quarterly update on efforts to lift the trading suspension in place since 1 April 2025, when delays in publishing the FY2024 annual, 1H 2025 interim and FY2025 annual results triggered a halt under Hong Kong Stock Exchange rules.

Resumption guidance. On 4 July 2025 the Exchange set six conditions: (1) conclude an independent forensic investigation into audit issues, (2) dispel regulatory concerns over management integrity and competence, (3) publish all outstanding financial statements and resolve audit modifications, (4) complete an independent internal-control review, (5) prove compliance with Listing Rule 13.24 on sufficient operations and assets, and (6) keep the market fully informed.

Key progress points • Independent investigation: Grant Thornton Advisory Services is finalising its forensic review; the audit committee is coordinating to expedite completion. • Financial statements: New auditor HLB (appointed 30 October 2025 after BDO’s resignation) continues audit work; management targets publication of the outstanding FY2024 and FY2025 accounts, plus 1H 2025 interim results, “as soon as practicable.” • Internal controls: An external consultant has completed fieldwork; recommendations are being refined with the audit committee ahead of finalisation. • Operational continuity: Management states the AI-data-services business remains “normal,” citing substantive operations in privacy-preserving computation, blockchain, digital staff and AI large-model agents. The board asserts the Group maintains adequate operations and asset levels to meet Rule 13.24 requirements. • Advisory team: In June 2026 the Company appointed Yu Ming Investment Management Ltd., licensed for Type 1, 4, 6 and 9 regulated activities, to strengthen the resumption process. • Market disclosure: Quarterly updates will continue until trading resumes; all material information will be released via Stock Exchange announcements.

Next steps. Trading in TIANJUDIHE shares will stay suspended until all six resumption conditions are satisfied and the Exchange grants approval. Investors are urged to exercise caution when dealing in the Company’s securities.
