Road King Infrastructure Limited (Road King) announced that all resolutions tabled at its Annual General Meeting on 22 May 2026 were approved by poll, each receiving at least 99.92% of the votes cast.
The meeting recorded 565.28 million shares voted out of 749.34 million eligible shares, translating into a shareholder turnout of 75.46%. No shares were subject to voting restrictions or abstentions.
Key outcomes are as follows:
1. Financial Statements • The audited financial statements for the year ended 31 December 2025 were adopted with 99.96% support (565.07 million votes in favour versus 0.21 million against).
2. Board Composition and Remuneration • All six directors standing for re-election—Mr. Zen Wei Peu, Derek; Mr. Yan Zhongyu; Ms. Deng Hongyu; Mr. Wong Wai Ho; Ms. Lam Man Kuen, Phyllis—secured between 99.98% and 99.99% approval. • The Board was authorised to fix directors’ remuneration with 99.99% support.
3. Auditor Transition • Crowe (HK) CPA Limited was appointed auditor, replacing Deloitte Touche Tohmatsu, garnering 99.99% approval. Deloitte’s retirement involved no disagreements with the company; however, its 2025 audit opinion contained a going-concern disclaimer.
4. Capital Management Mandates • Shareholders granted the Board a general mandate to allot new shares (99.92% approval) and a mandate to repurchase shares (99.99% approval). • The share issue mandate may be extended by the number of shares repurchased under the buy-back mandate (99.92% approval).
