MicroPort CardioFlow Schedules 4 June 2026 AGM to Approve FY 2025 Results, 20% Issue Mandate and Board Re-elections

MicroPort CardioFlow Medtech Corporation will convene its 2026 annual general meeting (AGM) on 4 June 2026 at 10:00 a.m. at No. 501 Niudun Road, Zhangjiang Hi-Tech Park, Pudong New District, Shanghai. Shareholders registered by 2 June 2026 may appoint proxies or attend in person.

Key agenda items include:

1. FY 2025 Results • Consideration and receipt of the audited consolidated financial statements and the reports of the directors and KPMG for the year ended 31 December 2025.

2. Capital Management Mandates • Authorisation for the board to repurchase shares representing up to 10% of the company’s issued share capital (excluding treasury shares). • Authorisation to allot, issue and deal with additional shares up to 20% of issued share capital (excluding treasury shares). • Extension of the issue mandate by the number of shares bought back under the repurchase mandate.

3. Board Composition and Remuneration • Re-election of five directors: – Dr. Brian Chang (Non-executive) – Mr. Philippe Wanstok (Executive) – Mr. Deng Aoyi (Non-executive) – Dr. Hu Bingshan (Independent Non-executive) – Mr. Jonathan H. Chou (Independent Non-executive) • Authorisation for the board to determine directors’ remuneration.

4. Auditor • Re-appointment of KPMG as external auditor with remuneration set by the board.

Each shareholder is entitled to one vote per fully-paid share. Proxies must be lodged with Computershare Hong Kong Investor Services Limited no later than 10:00 a.m. on 2 June 2026. Attendance requires presentation of valid identification documents.
