CH XINHUA EDU reported that every item on the agenda of its Annual General Meeting (AGM) held on 16 June 2026 was approved by substantial majorities via poll voting.
The meeting covered shareholders representing the company’s entire issued share capital of 1.61 billion ordinary shares, with no treasury or repurchased shares outstanding. Computershare Hong Kong Investor Services acted as scrutineer for the vote count.
Key resolutions and voting outcomes: • FY 2025 financial statements and Directors’ and auditors’ reports were adopted with 100.00% support (1.24 billion votes in favour). • Re-elections of Non-executive Director Wu Junbao and Independent Non-executive Directors Jiang Min and Yang Zhanjun each received 99.96% approval (1.24 billion votes in favour). • Authorisation for the Board to determine Directors’ remuneration passed with 100.00% support. • Appointment of Rongcheng (Hong Kong) CPA Limited as external auditor was endorsed by 99.75% of votes cast, and the Board was authorised to fix its remuneration. • A general mandate for the Board to issue new shares equivalent to up to 20% of the existing share capital secured 99.67% approval; the mandate to repurchase up to 10% of shares gained 99.97% support. The extension mandate, allowing any repurchased shares to be added to the issuance limit, also passed with 99.67% approval.
All Directors participated in the AGM, either in person or via electronic means. The Board currently comprises one Non-executive Director (Chairman Wu Junbao), three Executive Directors (Zhang Ming, Wang Yongkai and Chen Ming), and three Independent Non-executive Directors (Jiang Min, Yang Zhanjun and Yao Heping).
Rongcheng (Hong Kong) CPA Limited will serve as auditor until the conclusion of the next AGM, succeeding the previous audit firm following shareholder endorsement.
