China Foods Sets 9 June 2026 Virtual AGM; Plans RMB0.154 Final Dividend, Board Refresh and New Share Mandates

China Foods Limited will convene its 2026 annual general meeting (AGM) on Tuesday, 9 June 2026 at 10:00 a.m. via the Vistra eVoting Portal. Shareholders may attend, vote and raise questions online or through a designated dial-in facility.

Key ordinary resolutions to be tabled include:

• Financials and dividend – Adoption of the audited consolidated statements for the year ended 31 December 2025 and declaration of a final cash dividend of RMB0.154 per share. The ex-dividend date is set for 15 June 2026; the register of members will be closed from 17 June to 18 June 2026, with the last date for share transfer registration on 16 June 2026 at 4:30 p.m.

• Board composition – Election of Mr Song Liang as Non-Executive Director and Mr Tang Qiang as Executive Director. Re-election of Mr Qing Lijun (Non-Executive Director), Mr Li Hung Kwan, Alfred (Independent Non-Executive Director) and Ms Leung Ka Lai, Ada (Independent Non-Executive Director).

• Remuneration – Authorisation for the Board to determine directors’ remuneration.

• Auditor – Re-appointment of Baker Tilly Hong Kong Limited with the Board authorised to fix its remuneration.

Special business mandates up for approval:

• Share issuance – A general mandate allowing the Board to allot and issue additional shares or convertible securities up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period.

• Share buy-back – Authority to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised bourses.

• Mandate extension – Conditional extension of the share-issuance limit by the number of shares repurchased under the buy-back mandate, capped at an additional 10% of issued shares.

Shareholder logistics:

• Eligibility to attend and vote – Share transfer registration will be suspended from 4 June to 9 June 2026 inclusive; the record date for AGM voting rights is 9 June 2026.

• Proxy submission – Forms of proxy, together with relevant authorities, must reach Tricor Investor Services Limited no later than 48 hours before the AGM.
