Grace Wine Sets 5 June 2026 AGM; Proposes Director Re-elections, 20% Share Issuance Mandate and M&A Amendments

Grace Wine Holdings Limited will convene its annual general meeting on 5 June 2026 at 10:00 a.m. at 23/F, Lee Garden One, 33 Hysan Avenue, Causeway Bay, Hong Kong.

Key agenda items:

1. Financial Reporting • Shareholders will receive and consider the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and independent auditor’s reports.

2. Board Composition • Eight directors are nominated for re-election: executive directors Mr. Liu Yunqiang, Mr. Zhao Mingjun and Ms. Xiong Xia; non-executive directors Dr. Cheung Chai Hong and Mr. Zhao Guodong; and independent non-executive directors Mr. Leung Ming Shu, Dr. Wang Renrong and Dr. Xu Yan. • The board will be authorised to fix directors’ remuneration.

3. Auditor • Ernst & Young is proposed for re-appointment for the ensuing year, with remuneration to be determined by the board.

4. General Mandate to Issue Shares • Directors seek authority to allot, issue and deal with new shares—par value HK$0.001—up to 20% of the company’s issued share capital, excluding treasury shares, as at the date of the resolution. • The mandate extends to offers, agreements and options, including convertible securities, but is subject to GEM Listing Rule restrictions on pricing and the issue of certain instruments.

5. Share Repurchase Mandate • A separate mandate would allow on-market repurchases of up to 10% of issued shares (excluding treasury shares) during the mandate period.

6. Extension of Issuance Mandate • The share issuance mandate may be increased by the number of shares repurchased under the 10% buyback authority, effectively lifting the potential issuance limit by an additional 10%.

7. Amendments to Constitutional Documents • A special resolution seeks shareholder approval to adopt a new set of articles of association incorporating proposed amendments outlined in the circular dated 17 April 2026.

Administrative details:

• Shareholders recorded on the register by 4:30 p.m. on 1 June 2026 will be eligible to attend and vote. The register will be closed from 2 June 2026 to 5 June 2026, inclusive. • Proxy forms must be lodged with Tricor Investor Services Limited no later than 48 hours before the meeting.
