Horizon Robotics (HORIZONROBOT-W) has updated its share capital structure via a Next Day Disclosure Return filed on 18 May 2026, detailing the on-market repurchase of 10.40 million Class B weighted voting right (WVR) ordinary shares the same day.
The shares were bought back on the Hong Kong Stock Exchange at prices between HKD 5.87 and HKD 6.06, with a volume-weighted average of HKD 5.9485. Aggregate consideration reached HKD 61.86 million.
Following the transaction: • Issued shares outstanding (excluding treasury shares) fell 0.0712 % to 12.48 billion. • Treasury shares increased from 40.98 million to 51.38 million. • Total issued shares, including treasury shares, remained unchanged at 12.53 billion.
The buy-back formed part of the mandate approved on 10 June 2025, which authorises repurchases of up to 1.32 billion shares. To date, 51.38 million shares—0.3893 % of the issued share capital at the mandate date—have been repurchased under this authorisation.
Under Hong Kong listing rules, Horizon Robotics is subject to a moratorium on issuing new shares or disposing of treasury shares until 17 June 2026. The board confirmed that the repurchase complied with all applicable regulations and that all necessary payments and filings have been completed.
