Sino ICT Shareholders Deliver Unanimous Support for All AGM Resolutions

At the Annual General Meeting held on 2 June 2026, Sino ICT Holdings Limited reported a 100% approval rate for every agenda item put to vote. A total of 1.07 billion shares were cast by poll on each resolution, with zero votes recorded against any item.

Key outcomes:

1. Financial Statements Adopted • The audited consolidated financial statements for the year ended 31 December 2025, along with the directors’ and auditor’s reports, were accepted unanimously.

2. Board Composition Confirmed • Executive Director Xia Yuan was re-elected. • Independent Non-executive Directors Cui Yuzhi, Ping Fan and Cheung Yik Man were all re-elected without opposition.

3. Remuneration Authority Granted • The Board received full authority to determine directors’ remuneration.

4. Auditor Re-appointed • Grant Thornton Hong Kong Limited was re-appointed as external auditor, with the Board authorised to fix its fees.

5–7. General Mandates Approved • All additional ordinary resolutions (Nos. 5–7) detailed in the AGM notice, including general mandates for share issuance and repurchase, secured 100% support.

Participation details:

• Voting base: 1.46 billion issued shares entitled to vote. • Shares voted: 1.07 billion, representing all votes cast. • Attendance: All eight directors were present, satisfying Hong Kong Listing Rule 13.39(5A).

With unanimous shareholder backing, Sino ICT’s existing governance structure, remuneration framework and financial oversight arrangements remain firmly in place for the coming year.
