Cofoe Medical Secures Shareholder Nod for A-Share Buyback and Board Pay Amendments at 2026 Second EGM

Cofoe Medical Technology Co., Ltd. convened its 2026 Second Extraordinary General Meeting on 20 July 2026 in Changsha, Hunan. Holders of 126.05 million shares—about 55.12% of the 228.70 million voting shares outstanding—participated in person or via video. Seven of the company’s directors, including Chairman Zhang Min, attended the session.

Shareholders approved all tabled items.

1. Special resolution – A-share repurchase and capital reduction • Seven sub-resolutions covering purpose, eligibility, method, price range, volume, funding source, execution timetable and management authorisation each received approximately 99.98% votes in favour (126.03 million shares). Dissenting votes were negligible (1,200 shares).

2. Ordinary resolution – Revision of Remuneration Management Rules for Directors and Senior Management • Passed with 99.97% support (126.02 million shares for, 4,710 against).

Prior to the meeting, Cofoe Medical held 7.20 million A shares in treasury, which were excluded from voting, leaving 96.95% of the 235.90 million total issued shares eligible.

Tricor Investor Services Limited acted as scrutineer for the H-share poll. Hunan Qiyuan Law Firm issued a legal opinion confirming that the meeting procedures, attendee qualifications, voting process and results complied with relevant laws, regulations and the company’s Articles of Association.
