Harmony Auto sets 18 June 2026 AGM to vote on director re-elections, 10% share buy-back and 20% issuance mandates

China Harmony Auto Holding Limited (Harmony Auto) will hold its Annual General Meeting (AGM) on 18 June 2026 in Hong Kong. Key resolutions include:

1. Board composition • Re-election of three retiring directors: Executive Directors Liu Fenglei (President & CEO) and Ma Lintao (Vice-President), plus Independent Non-executive Director Wang Nengguang. • All have offered themselves for re-election and have been endorsed by the Nomination Committee and the Board.

2. Capital management authorities • Share Buy-back Mandate: Directors may repurchase up to 10% of issued shares, equal to 152.33 million shares based on the 1.52 billion shares outstanding as of 21 May 2026. • Issuance Mandate: Directors may allot, issue or transfer up to 20% of issued shares, representing 304.65 million shares, with an additional extension for the amount of any shares repurchased. • The company states it has no immediate plans to exercise either mandate.

3. Auditor re-appointment • Beijing Xinghua Caplegend CPA Limited is proposed to continue as auditor for the 2026 financial year, with estimated remuneration of RMB6.80 million–RMB7.20 million.

4. Administrative details • Register of Members closes 15–18 June 2026; record date is 18 June 2026. • Proxy forms must be lodged by 10:00 a.m. on 16 June 2026. • All AGM resolutions will be decided by poll in accordance with Hong Kong Listing Rules.

If all mandates are approved and fully utilised, the controlling shareholder group’s stake—currently 46.50%—could rise to 51.67%, potentially triggering a mandatory offer under the Takeovers Code; the Board states it will avoid repurchases that would reduce public float below 25%.
