Guangshen Railway Company Limited has issued a proxy form to its H-share investors ahead of the 2026 First H Share Class Meeting, scheduled for 10 June 2026 at the company’s Shenzhen headquarters. The session will convene immediately after the conclusion of the First A Share Class Meeting on the same day.
The sole agenda item is a special resolution seeking shareholder approval for an A-share repurchase programme to be executed via centralized bidding on Chinese exchanges. Key parameters submitted for voting comprise:
• Purpose of the repurchase • Share class subject to buy-back (A shares) • Repurchase method (centralized bidding) • Implementation window • Targeted volume, proportion of total share capital and aggregate funding (excluding transaction fees) • Price range and pricing mechanism • Funding sources • Post-repurchase arrangements for cancellation or transfer of the acquired shares in compliance with PRC regulations • Measures to safeguard creditor interests • Authorization for the board to handle all related procedural matters
H-shareholders may appoint the meeting chairman or another proxy to vote on their behalf. Completed proxy forms must reach the company’s Hong Kong registrar, Computershare Hong Kong Investor Services Limited, no later than 24 hours before the meeting commences. Attendance in person remains an option irrespective of prior proxy submission.
