MP CardioFlow AGM Clears All Resolutions; Wu Xia Retires, Mao Junxiang Joins as Independent Director

MicroPort CardioFlow Medtech Corporation (MP CardioFlow) reported that all seven ordinary resolutions tabled at the 4 June 2026 annual general meeting were approved by shareholders through poll voting.

• Voting overview Total issued share capital stood at 1.27 billion shares. Each resolution attracted about 703.39 million votes, of which roughly 690.05 million—equivalent to 97.99%–98.10%—were cast in favour. No shareholder was required to abstain. Computershare Hong Kong Investor Services acted as scrutineer.

• Key mandates renewed 1. Receipt of the FY 2025 audited financial statements and directors’ and auditors’ reports. 2. Repurchase mandate: authority to buy back up to 10% of issued shares. 3. Issuance mandate: authority to allot and issue up to 20% of issued shares, extendable by the shares repurchased. 4. Re-election of five directors, authorisation of directors’ remuneration, and re-appointment of KPMG as auditor.

• Board changes – Retirement: Non-executive director Wu Xia stepped down at the close of the AGM and left the Commercialization Committee. The Board recorded its appreciation for her service. – Appointment: Mao Junxiang, aged 54, was appointed independent non-executive director and member of the Commercialization Committee, effective 4 June 2026. Mao brings over 30 years of banking and capital-markets experience, including senior roles at Citigroup Global Markets Asia.

• Terms of appointment for Mao Junxiang Initial term: three years, subject to re-election at the next AGM. Annual director’s fee: RMB 0.20 million, subject to annual review. Mao confirmed compliance with Hong Kong Listing Rule 3.13 independence criteria and holds no shares in the company.

As of 4 June 2026, MP CardioFlow’s Board comprises two executive directors, three non-executive directors, and four independent non-executive directors.
