Tian Chang Group Holdings Ltd. has released its proxy form outlining the agenda for the upcoming annual general meeting (AGM), to be held on 29 May 2026 at 11:15 a.m. in Hong Kong. Key matters for shareholder approval are as follows:

1. FY 2025 Financial Statements • Shareholders will consider and, if appropriate, adopt the audited consolidated financial statements for the year ended 31 December 2025 together with the directors’ and auditor’s reports.

2. Board Composition and Remuneration • Re-election of Mr. Chan Tsan Lam as Executive Director. • Re-election of Mr. Hung Chun Leung as Independent Non-Executive Director. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Re-appointment • Proposal to re-appoint Forvis Mazars CPA Limited as external auditor and authorise the board to fix its remuneration.

4. Share Capital Authorities • General mandate permitting directors to issue new shares. • General mandate authorising the repurchase of the Company’s own shares. • Extension of the issue mandate by adding the number of shares repurchased under the repurchase mandate.
