Uni-President China Holdings Ltd. has distributed a proxy form detailing the resolutions to be tabled at its annual general meeting (AGM) scheduled for 9:30 a.m. on Friday, 5 June 2026, at United Conference Centre, 10/F, United Centre, 95 Queensway, Admiralty, Hong Kong.
Key resolutions to be put before shareholders are as follows:
1. FY25 Financial Reporting and Dividend • Receive and approve the audited consolidated financial statements for the year ended 31 December 2025. • Approve and declare a final dividend for the same period. (Dividend amount not disclosed in the proxy form.)
2. Board Composition • Re-election of four directors: executive directors Mr. Lo Chih-Hsien and Mr. Liu Xinhua, and non-executive directors Mr. Chen Kuo-Hui and Ms. Chien Chi-Lin. • Authorise the board to fix directors’ remuneration.
3. Auditor • Re-appoint PricewaterhouseCoopers as external auditor and authorise the board to determine its remuneration.
4. Capital Management Mandates • General mandate permitting directors to allot, issue and deal with unissued shares, including the sale or transfer of any treasury shares, up to 20% of the issued share capital as at the date of AGM approval. • General mandate to repurchase up to 10% of issued shares (excluding treasury shares). • Extension mandate to increase the issuance limit by the number of shares repurchased under the buy-back authority.
Shareholders wishing to vote in person or by proxy must return completed forms to Computershare Hong Kong Investor Services Limited by 9:30 a.m. on Wednesday, 3 June 2026, or at least 48 hours prior to any adjourned meeting. Completion of a proxy form does not preclude shareholders from attending and voting at the AGM in person.
